These Terms & Conditions (“Terms”) govern the agreement between Key Shots Visuals LLC (“Key Shotz Visuals,” “we,” “us,” or “our”) and the client(s) (“Client,” “you,” or “your”) for video and related services. By booking Key Shots Visuals, signing a contract, or paying an invoice/retainer, you agree to these Terms.


1. Services

1.1 Key Shotz Visuals will provide video production services as outlined in the specific proposal, package description, or service agreement for your event or project (“Services”).
1.2 Services may include, but are not limited to: pre-production planning, on-site filming, editing, color correction, audio mixing, and delivery of final digital video files.

2. Booking, Retainer & Payment

2.1 Dates are reserved only upon receipt of a signed agreement and a non-refundable retainer.
2.2 Unless otherwise stated in writing, the retainer is 50% of the total package price. The remaining balance is due 7 days before the event date.
2.3 If full payment is not received by the due date, Key Shots Visuals reserves the right to cancel Services and retain the retainer and any payments already made.
2.4 Payments are accepted via the methods listed on the invoice or in the contract (e.g., credit card, bank transfer, payment platform).

3. Rescheduling & Cancellation by Client

3.1 If you need to reschedule your event, you must notify us in writing as soon as possible. We will make reasonable efforts to accommodate a new date, subject to availability.
3.2 If the new date is available, payments made will be applied to the new date. A rescheduling fee may apply, especially for changes made within 5 days of the original date.
3.3 If you cancel the event or our Services for any reason, the retainer is non-refundable. Additional payments may be refundable or partially refundable according to the Refund Policy below.

4. Cancellation by Key Shots Visuals

4.1 In the unlikely event that Key Shots Visuals must cancel due to serious illness, emergency, or circumstances beyond our control, we will:

  • Make reasonable efforts to help you find a comparable replacement videographer; or


  • Refund all payments you have made to us, including the retainer.
    4.2 This refund will be your sole remedy, and Key Shots Visuals LLC will not be liable for any additional costs, damages, or losses.


5. Event Changes & Cooperation

5.1 You agree to keep us informed of any significant schedule or location changes as soon as they occur.
5.2 You are responsible for obtaining any necessary permissions, permits, or clearances for filming at specific locations (e.g., venues, churches, outdoor sites).
5.3 You agree to designate a point-of-contact (such as a planner, coordinator, or trusted friend) to help direct us to key people and moments during the event where needed.
5.4 We are not responsible for missed moments due to lack of communication, restricted access, or limitations imposed by the venue, officiant, or other vendors.

6. Creative Control & Editing

6.1 By hiring Key Shots Visuals LLC, you acknowledge and agree to our artistic style and creative approach.
6.2 We retain full creative control over the selection of footage, editing decisions, color grading, pacing, music (subject to licensing), and overall storytelling.
6.3 Requests for specific shots or styles are welcome and will be considered, but cannot be guaranteed.
6.4 Unless otherwise stated, your package includes 3 round(s) of reasonable revision(s) to the main film (e.g., highlight or feature). Additional revisions may incur extra fees at our current hourly rate.

7. Delivery of Final Films

7.1 Approximate delivery timeframe for the highlight/feature film is 2-4 weeks after the event date, unless otherwise stated in the contract. Longer projects may require extended timelines.
7.2 Final films are delivered digitally via an online download link or gallery platform. DVDs, USB drives, or other physical media are only included if specified.
7.3 You are responsible for downloading and backing up your films. We recommend storing them in multiple locations.
7.4 We may archive project files at our discretion but cannot guarantee permanent storage.

8. Music & Licensing

8.1 We use licensed or royalty-free music for your films to comply with copyright law.
8.2 Specific song requests may be accommodated if licensing is available and the Client covers any additional licensing costs.
8.3 Use of commercial popular music without proper licensing is not permitted.

9. Intellectual Property & Usage Rights

9.1 All raw footage, project files, and edits remain the intellectual property of Key Shotz Visuals.
9.2 We grant you a personal, non-exclusive, non-transferable license to download, store, and share the final films for personal, non-commercial use (including personal social media, private viewing, and sharing with friends and family).
9.3 You may not sell, license, or otherwise commercially exploit the films without written permission from Key Shots Visuals LLC.

10. Promotional Use

10.1 You grant Key Shots Visuals LLC permission to use images, clips, and excerpts from your project for portfolio, website, social media, advertising, and promotional purposes, unless otherwise agreed in writing.
10.2 If you have specific privacy concerns or restrictions (for example, certain guests or elements that should not be shared), you must let us know before the event, and we will do our best to honor those requests.

11. Limitations of Liability

11.1 Although every reasonable care will be taken, Key Shotz Visuals’ liability for any claim, loss, or injury arising from our services is limited to the total amount you have paid to us for the project.

11.2 We are not liable for:

  • Loss of footage due to equipment failure, theft, or other unforeseen events where reasonable precautions were taken;

  • Limitations caused by venue rules, weather, acts of God, or interference from guests or other vendors;

  • Indirect, consequential, or incidental damages (such as emotional distress or loss of opportunity).


12. Force Majeure

12.1 Neither party shall be liable for failure to perform obligations if such failure results from events beyond reasonable control, including but not limited to natural disasters, acts of God, war, strikes, government restrictions, pandemics, or sudden illness.
12.2 If a Force Majeure event occurs, both parties will work together in good faith to reschedule or find a suitable solution.

13. Governing Law

13.1 These Terms are governed by the laws of the state/province of Maricopa County, AZ, without regard to its conflict of law principles.
13.2 Any disputes arising under these Terms shall first be addressed in good-faith discussions, and if unresolved, may be brought in the appropriate courts located in Maricopa County, AZ.

14. Agreement

By signing a contract with Key Shots Visuals LLC, paying an invoice, or booking services, you acknowledge that you have read, understood, and agreed to these Terms & Conditions.
